At Acast, we believe that business should be conducted with integrity, transparency, and respect for people and the planet. This Supplier Code of Conduct (“Code”) sets out the ethical standards and expectations we have for all our suppliers, vendors, contractors, and other business partners (“Suppliers”) who provide goods or services to Acast.

This Code is grounded in international standards, including:

  • The UN Global Compact
  • The International Labour Organization’s Core Conventions
  • The OECD Guidelines for Multinational Enterprises
  • The UN Guiding Principles on Business and Human Rights

1. Compliance with Laws and Regulations

‍

Suppliers must comply with all applicable national and international laws and regulations, including but not limited to those related to:

  • Labour and employment
  • Health and safety
  • Anti-corruption and anti-bribery
  • Environmental protection
  • Sanctions and trade restrictions

2. Business Integrity

‍

We expect our Suppliers to act ethically and with integrity in all business dealings.

‍

Anti-Corruption and Bribery: Suppliers must never offer, promise, give, or accept bribes, facilitation payments, or other improper incentives.

‍

Conflicts of Interest: Suppliers must avoid situations where personal interests conflict with Acast’s interests and disclose any potential conflicts promptly.

‍

Fair Competition: Suppliers must comply with applicable competition laws and not engage in anti-competitive practices.

‍

3. Labour and Human Rights

‍

Acast is committed to upholding human rights and fair working conditions. Suppliers must:

  • Respect Human Rights: Treat all workers with dignity and respect.
  • Prohibit Forced Labour: All work must be voluntary. Suppliers must not use any form of forced, bonded, or indentured labour.
  • Prohibit Child Labour: Suppliers must not employ anyone under the legal minimum working age.
  • Ensure Non-Discrimination: Suppliers must provide equal opportunity and not discriminate based on race, gender, age, religion, sexual orientation, or other protected status.
  • Uphold Freedom of Association: Suppliers must respect the rights of employees to associate freely and engage in collective bargaining.

4. Health, Safety and Working Conditions

‍

Suppliers must provide a safe and healthy working environment and implement procedures to prevent accidents and injury. This includes ensuring:

‍

  • Clean and safe facilities
  • Access to protective equipment and training
  • Reasonable working hours and fair wages
  • Compliance with local labour laws and, where applicable, collective agreements

5. Environmental Responsibility

‍

Suppliers must operate in an environmentally responsible manner and:

‍

  • Comply with all applicable environmental laws and regulations
  • Minimize waste and emissions
  • Use resources efficiently and strive for continuous environmental improvement

6. Information Security and Confidentiality

‍

Suppliers must protect confidential information obtained through their relationship with Acast and must not share or misuse such information. Data privacy laws and information security practices must be upheld.

‍

7. Non-Discrimination and Equal Opportunity

‍

Suppliers are expected to share Acast’s commitment to equal opportunity and non-discrimination against any individual or group.

‍

8. Whistleblowing and Reporting Misconduct

‍

Suppliers must have a mechanism for employees and stakeholders to report unethical conduct or legal violations without fear of retaliation. Suspected misconduct related to Acast may also be reported via Acast’s whistleblowing portal here.

‍

9. Monitoring and Compliance

‍

Acast reserves the right to assess compliance with this Code and may conduct audits or request documentation. Non-compliance may lead to corrective action or termination of the business relationship.

‍

Acceptance of the Code

‍

By working with Acast, Suppliers confirm their understanding of and commitment to this Supplier Code of Conduct. We expect Suppliers to communicate these principles to their own employees, subcontractors, and partners, and to cascade these standards through their supply chains.
